Terms & Conditions

Arham Ads Engineer provides paid advertising management and related performance marketing services across Google Ads, Meta Ads (Facebook & Instagram), LinkedIn Ads, TikTok Ads, and associated platforms (collectively, the "Services").

The specific scope of Services, deliverables, and fees for each engagement are agreed upon in a separate written proposal or onboarding agreement before work commences. These Terms govern all such engagements.

Services are provided on a month-to-month basis unless otherwise specified in writing. No long-term contracts are required.

Service fees are invoiced monthly in advance. Payment is due within 7 days of invoice date unless an alternative payment schedule is agreed in writing.

Ad spend is separate from management fees. You are responsible for funding your own ad accounts directly with the respective platforms (Google, Meta, LinkedIn, TikTok). Arham Ads Engineer does not handle client funds or act as a billing intermediary for ad spend.

Late payments may result in a pause of Services until the outstanding balance is cleared. Invoices unpaid after 30 days may incur a 2% monthly late fee.

All fees are quoted in the currency specified in the proposal. Applicable taxes (VAT, GST, or equivalent) are the client's responsibility where required by their jurisdiction.

Either party may cancel Services with 14 days' written notice. No long-term commitments or exit fees apply.

Upon cancellation, you will receive access to all campaign assets, ad account history, and any deliverables produced during the engagement. Ad accounts remain owned by you at all times.

Arham Ads Engineer reserves the right to terminate Services immediately if a client engages in fraudulent activity, violates platform advertising policies, or fails to pay invoices after written notice.

Fees already paid for a service period in which cancellation occurs are non-refundable, but no further charges will be applied after the notice period ends.

Ad copy, creative briefs, audience strategies, campaign structures, and other work product created specifically for your campaigns are owned by you upon full payment of the associated invoice.

Methodologies, frameworks, templates, and proprietary optimization processes developed by Arham Ads Engineer remain the intellectual property of Arham Ads Engineer and are not transferred to clients.

You grant Arham Ads Engineer a limited, non-exclusive licence to access and manage your ad accounts, analytics platforms, and related tools solely for the purpose of delivering the Services.

Paid advertising performance depends on numerous factors outside Arham Ads Engineer's control, including but not limited to: platform algorithm changes, market competition, economic conditions, product-market fit, landing page quality, and ad account history.

Arham Ads Engineer does not guarantee specific results, including minimum ROAS, CPL targets, lead volume, revenue, or conversion rates. All projections, estimates, and case study figures shared during the sales process are illustrative of past performance and not a promise of future results.

Arham Ads Engineer commits to applying professional skill, diligence, and best-practice methodology to every engagement. Underperformance relative to targets will be investigated and addressed through the ongoing optimization process.

Both parties agree to keep confidential any non-public information disclosed during the engagement, including business strategies, financial data, customer data, and proprietary processes.

Arham Ads Engineer may reference the client relationship as a case study (using anonymized or approved metrics) for marketing purposes unless the client explicitly requests otherwise in writing.

Confidentiality obligations survive the termination of the engagement for a period of 2 years.

Arham Ads Engineer's total liability under or in connection with any engagement shall not exceed the total fees paid by the client in the 3 months preceding the claim.

Arham Ads Engineer shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profit, revenue, or business opportunity, even if advised of the possibility of such damages.

Arham Ads Engineer is not liable for decisions made by ad platforms (account suspensions, policy violations, algorithm changes) or for losses arising from client-side factors (website downtime, product issues, pricing).

All advertising campaigns are subject to the policies of the respective ad platforms (Google, Meta, LinkedIn, TikTok). You are responsible for ensuring your products, services, and landing pages comply with those policies.

Arham Ads Engineer will flag potential policy issues but is not liable for ad account suspensions, disapprovals, or penalties resulting from your products, business practices, or content.

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Pakistan.

For clients based in other jurisdictions, any dispute resolution shall be conducted in English and governed by the laws of Pakistan unless a separate written agreement specifies otherwise.

Arham Ads Engineer reserves the right to update these Terms at any time. Material changes will be communicated by email or via the website with at least 14 days' notice before taking effect.

Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.
